Cloud AI vendors have changed data retention policies mid-contract, allowed human contractor review of user audio without clear disclosure, and shut down products overnight following acquisition. Each of these is not a theoretical scenario. Each has happened. The only question is which one your enterprise will encounter first.

The three risk scenarios

Cloud AI creates three categories of liability for enterprise mobile apps. All three have already materialised in the market. All three are structural — they are not bugs that can be fixed, they are consequences of the architecture.

The first is acquisition risk. Cloud AI startups are acquired. When they are acquired, the acquirer inherits the data, the users, and the product roadmap. The acquirer may continue the product, change it, or shut it down. The data handling terms may change. The data itself may be transferred to a new entity's infrastructure.

The second is policy change risk. Cloud AI vendors update their terms of service, data processing agreements, and privacy policies. Some changes are cosmetic. Others are material — changing what data is retained, how long it is stored, whether it is used for model training, and what rights enterprise customers have. Enterprises that signed a contract in 2022 are often operating on the 2022 version of the terms in their heads while the vendor is on the 2025 version.

The third is undisclosed processing risk. Cloud AI systems often involve human review of user inputs for safety, quality, and model improvement purposes. This review may not be disclosed in a way that enterprise customers or their users understand. Employees using an enterprise AI tool may not know that their queries are being reviewed by contractors.

Scenario 1: the Rewind acquisition

Rewind built an AI personal assistant that captured and indexed everything on a user's device — screenshots, audio, activity. The original architecture was local-first: Rewind's processing happened on the device, not in the cloud. This was the product's central value proposition: your data stays with you.

The company later shifted toward cloud-dependent functionality to enable features that required more compute than local devices could provide. It was subsequently acquired by Meta.

Following the acquisition, the product was shut down. Users who had stored years of indexed interactions in Rewind lost access to that data. There was no data export. There was no migration path. The feature was gone.

For individual consumers, this is disappointing. For enterprise deployments, this scenario is a business continuity incident. If your clinical documentation tool, your field service AI, or your financial services assistant is acquired and shut down, your operations are disrupted. Your users have lost a workflow they depend on. Your IT team is managing an emergency replacement procurement.

The Rewind case is notable because the original product was local-first — the company understood why local processing mattered. The move to cloud was a product decision made under business pressure. The acquisition was a business outcome. Neither was signalled clearly enough for enterprise users to prepare.

Scenario 2: Meta Ray-Ban contractor review

In 2024, investigative reporting revealed that audio captured by Meta Ray-Ban smart glasses was reviewed by human contractors as part of Meta's AI quality and safety processes. The contractors were located outside the US. Users were not clearly informed that their audio interactions would be reviewed by humans.

This scenario plays out repeatedly across cloud AI vendors. The pattern is consistent: user interactions are collected to improve the AI model, quality assurance requires human review of a sample of those interactions, and the disclosure of this process is buried in terms of service that users do not read.

For enterprise deployments, the implication is direct. Employees using a cloud AI tool to process work-related information — customer data, patient records, financial information, legal communications — may have that information reviewed by contractor teams at the AI vendor without the enterprise ever approving that access.

The enterprise approved an API integration. They did not approve access for human reviewers at a third-party contractor firm.

The contractual fix — negotiating a prohibition on human review in the enterprise agreement — is possible with major vendors. It requires explicit legal negotiation, not acceptance of standard terms. Most enterprise AI deployments are running on standard terms.

Scenario 3: OpenAI policy changes

OpenAI has updated its data usage, retention, and privacy policies multiple times since the commercial launch of the GPT API in 2020. The changes have covered data retention periods, the use of API inputs for model training (the default was changed from opt-out to opt-in, then clarified again), the rights of enterprise customers to request deletion, and the conditions under which OpenAI employees may access customer inputs.

Each change required enterprise legal and compliance teams to review the new terms against their obligations under HIPAA, SOC 2, applicable financial services regulations, and any enterprise customer contractual commitments.

This is not a criticism of OpenAI specifically. It reflects the reality that AI product policy is still maturing. The legal and regulatory frameworks governing AI data processing are actively evolving. Vendors are adapting their policies in response to regulatory pressure, competitive dynamics, and internal decisions.

For enterprise buyers, this means the terms you reviewed and approved during procurement may not be the terms your deployment is operating under today.

These are not isolated incidents. They reflect structural trends in the AI industry.

Cloud AI systems are high-value targets for breach precisely because they aggregate user interaction data at scale. A single breach at a cloud AI vendor can expose the interaction data of thousands of enterprise customers and millions of their users simultaneously.

What each scenario means for enterprise mobile

Each risk scenario has a concrete operational consequence for enterprise mobile apps.

Acquisition risk means a feature your users depend on can disappear overnight without your control. Your field service app's AI documentation assistant, gone. Your clinicians' AI note summariser, gone. The replacement procurement you are not prepared for begins immediately.

Policy change risk means you are accountable for data handling obligations that may have changed since you last reviewed your vendor agreements. In a HIPAA audit, "we haven't reviewed the vendor's current terms" is not a sufficient answer. The enterprise is responsible for ongoing vendor oversight.

Undisclosed processing risk means employee and customer data may be accessible to third parties in ways you have not approved, disclosed to your own users, or assessed under your data governance obligations. This is an active compliance exposure, not a theoretical one.

On-device AI as the structural answer

On-device AI eliminates all three scenarios structurally, not contractually.

Acquisition risk: The model runs on the user's device using open-source weights. No external vendor can be acquired to shut down the feature. If every cloud AI company ceased to exist tomorrow, an on-device AI feature would continue functioning exactly as before.

Policy change risk: There are no vendor terms to change because there is no vendor providing inference. The open-source model license is stable. The inference framework (llama.cpp, Core ML, or QNN) is maintained by stable open-source communities or platform vendors, not AI startups with uncertain trajectories.

Undisclosed processing risk: Nothing is processed externally. User inputs never leave the device. No human contractor anywhere has access to what your users query the AI about. This is not a matter of contractual prohibition — it is a matter of physical architecture.
